These Terms of Service (“Terms”) govern access to and use of the TaKaDra websites, applications, software, content, AI-assisted features, and related services (collectively, the “Service”). “TaKaDra,” “we,” “us,” and “our” refer to the legal operator identified in the Service’s legal notice and checkout. “You” means the person using the Service and, if applicable, the organization that person is authorized to represent.
By creating an account, checking an acceptance box, purchasing a subscription, or otherwise using the Service after being presented with these Terms, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally able to enter a binding contract. If you use TaKaDra for an organization, you represent that you have authority to bind that organization to these Terms.
2. What TaKaDra provides
TaKaDra is software that helps users explore business paths, organize information, assess fit, create planning materials, track progress, and receive AI-assisted guidance.
The Business Library and Automation Marketplace may be browsed without a paid Builder subscription. TaKaDra Builder provides paid features that may include a personalized fit assessment, personalized results and matches, guided startup planning, daily steps, saved progress and notes, and business-specific AI guidance. Available features may change as described in Section 14.
TaKaDra sells access to software, educational information, planning tools, and AI-assisted guidance. TaKaDra does not sell or transfer to you a business, franchise, job, customers, leads, contracts, licenses, financing, insurance, territory, or guaranteed commercial opportunity. TaKaDra is not your employer, business partner, franchise seller, broker, fiduciary, or professional adviser.
The Knowledge Base may summarize publicly reported examples of businesses using automation or AI. Each published record should identify its source and who reported the result. Company- or vendor-reported information is not necessarily independently verified, and another organization may not achieve the same result.
3. No earnings or outcome guarantee
Business results depend on many factors outside TaKaDra’s control, including your decisions, effort, skills, location, capital, market conditions, pricing, competition, licensing, insurance, taxes, and customer demand.
TaKaDra does not promise or guarantee revenue, profit, customers, employment, financing, savings, success, or any other result. Costs, timelines, demand estimates, difficulty labels, and potential outcomes are informational estimates, not promises. Examples, scenarios, and illustrative profiles are not testimonials and do not show what a typical user will earn.
You are responsible for deciding whether to start, continue, change, automate, finance, purchase, or operate any business.
4. AI-assisted guidance and professional advice
Some Service content is generated or organized with artificial intelligence. AI output can be incomplete, outdated, biased, inconsistent, or confidently wrong. Review the AI Guidance Disclaimer, which is incorporated into these Terms.
TaKaDra does not provide legal, tax, accounting, investment, financial, insurance, employment, engineering, medical, safety, licensing, or regulatory advice. You must independently verify important information and consult appropriately qualified professionals before acting on high-impact decisions or spending money.
5. Accounts and security
You agree to provide accurate information, maintain only accounts you are authorized to use, and keep your login credentials secure. You are responsible for activity under your account unless caused by TaKaDra’s failure to use reasonable security measures.
Notify promptly if you believe your account has been accessed without permission. We may require reasonable identity verification before changing account details, granting data access, or processing deletion requests.
On a trusted browser, a valid session may remain signed in across refreshes, browser restarts, and routine return visits. TaKaDra is designed to end a session after seven consecutive days without meaningful activity and to require a fresh sign-in after 30 days. We may require more recent authentication before sensitive account or billing actions. You should use Sign Out when finished on a shared or public device.
Signing out or allowing a session to expire does not delete your account, subscription history, or server-saved plans, notes, assessment answers, or progress. After signing in again, you may resume saved work that remains associated with your account.
6. Subscriptions and payment
Paid use of TaKaDra Builder is governed by the Subscription Terms, which are incorporated into these Terms.
At checkout, TaKaDra will display the selected plan, amount charged today, renewal frequency, cancellation method, refund treatment, and recurring-payment authorization. You must affirmatively accept the applicable legal documents and recurring charge before purchase.
Current listed plans are $19.99 per month or $199.99 per year, unless a different price is clearly displayed and affirmatively accepted at checkout. Applicable taxes may be added. Subscriptions renew automatically until canceled. See the Subscription Terms for complete billing details.
7. Your responsibilities
You are responsible for:
- determining whether a business path is appropriate for you;
- checking facts, prices, product availability, legal requirements, licenses, permits, taxes, insurance, contracts, employment rules, and safety requirements;
- obtaining professional advice when appropriate;
- securing any third-party accounts, approvals, funding, tools, equipment, or services you choose to use;
- the accuracy and legality of information you submit; and
- the consequences of decisions you make using Service information.
Do not submit payment-card numbers, passwords, government identifiers, medical records, or other unnecessary sensitive information into AI conversations or free-text planning fields.
8. Third-party information and services
TaKaDra may display or link to products, vendors, marketplaces, software, financing sources, insurers, repair providers, training providers, government resources, or other third parties. Unless expressly stated, a listing is not an endorsement, certification, partnership, or guarantee.
TaKaDra is not a party to your transaction with a third party. Third-party prices, availability, capabilities, terms, policies, and claims can change. Verify them directly before acting. Your use of a third-party service is governed by that third party’s terms and privacy practices.
Knowledge Base source links, evidence labels, and “last checked” dates describe the published material available when TaKaDra reviewed it. They do not guarantee that a source remains available, that a reported result was independently audited, or that the same technology is appropriate for you.
9. Your content
You retain ownership of information and original content you submit to TaKaDra (“User Content”). You grant TaKaDra a limited, nonexclusive license to host, copy, transmit, process, format, and display User Content as reasonably necessary to operate, secure, maintain, and improve the Service and provide requested features.
You represent that you have the right to submit your User Content and that doing so does not violate law or another person’s rights. The Privacy Policy explains how personal information is collected, used, retained, and disclosed.
10. Generated materials
Subject to these Terms and applicable law, you may use planning materials generated for you through your account for your own personal or business purposes. AI-generated material may not be unique, and other users may receive similar output. TaKaDra does not guarantee that generated material is accurate, noninfringing, registrable, protectable, or suitable for any purpose.
11. Acceptable use
You may not:
- use the Service unlawfully, fraudulently, deceptively, or to harm another person;
- access or attempt to access another user’s account or nonpublic data;
- probe, scan, attack, overload, disrupt, or bypass security or usage controls;
- upload malicious code or content you do not have the right to use;
- scrape, bulk extract, copy, resell, or republish the Business Library, Automation Marketplace, recommendation data, or other proprietary content except as expressly permitted;
- use Service output as the sole basis for decisions that require licensed professional judgment;
- misrepresent TaKaDra output as guaranteed, certified, or professionally approved; or
- use the Service to build a competing database, model, or service through unauthorized extraction.
We may investigate suspected misuse and may suspend or terminate access when reasonably necessary to protect users, TaKaDra, or third parties.
12. TaKaDra content and intellectual property
The Service, excluding User Content, is owned by TaKaDra or its licensors and is protected by intellectual-property and other laws. These Terms give you a limited, revocable, nonexclusive, nontransferable right to use the Service for its intended purpose. They do not transfer ownership of the Service, brand, software, databases, or source materials.
If you submit feedback, you allow TaKaDra to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.
13. Privacy
The Privacy Policy explains our information practices. Subscription cancellation does not automatically delete your account or saved content. Account deletion and privacy requests must be made through the available account controls or .
14. Service changes and availability
TaKaDra is evolving. We may add, remove, or change features, limits, content, or integrations. We will not retroactively change an already-paid billing period’s price without the notice and consent required by law.
We do not promise uninterrupted or error-free availability. Maintenance, security incidents, third-party outages, feature changes, and other events may affect access. Where practical, we will provide notice of material interruptions or changes.
15. Suspension and termination
You may stop using the Service at any time. You may cancel a paid subscription as described in the Subscription Terms.
We may suspend or terminate access for material breach of these Terms, fraud, abuse, security risk, unlawful activity, nonpayment, or conduct that threatens the Service or another person. When reasonably possible, we will provide notice and an opportunity to correct a remediable issue.
Sections that by their nature should survive termination—including payment obligations already incurred, ownership, disclaimers, liability limits, and dispute provisions—will survive.
16. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” TaKaDra disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
We do not warrant that the Service or any output will be uninterrupted, secure, accurate, complete, current, profitable, lawful for your specific situation, or suitable for a particular business decision. Nothing in these Terms limits a warranty or consumer right that cannot legally be excluded.
17. Limitation of liability
To the maximum extent permitted by law, TaKaDra will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, savings, data, opportunity, goodwill, customers, or business interruption; or losses arising from a business, purchasing, hiring, licensing, financing, investment, or third-party decision made using the Service.
To the maximum extent permitted by law, TaKaDra’s total liability for all claims arising from or related to the Service will not exceed the amount you paid TaKaDra during the 12 months before the event giving rise to the claim.
These limits do not apply where prohibited by law, and they do not exclude liability that cannot legally be excluded, including liability for fraud or willful misconduct where applicable.
18. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where the law of your residence gives you nonwaivable consumer protections. Any court proceeding permitted under these Terms will be brought in a court with jurisdiction in Orange County, Florida, unless applicable law requires otherwise.
Before filing a claim, you and TaKaDra agree to make a good-faith effort to resolve the issue by written notice to . This section does not prevent either party from seeking urgent injunctive relief or using a small-claims court with jurisdiction.
19. Changes to these Terms
We may update these Terms to reflect Service, legal, security, or operational changes. The current version and effective date will appear on this page. We will provide reasonable notice of material changes and request new acceptance when required by law. Changes will not create a new recurring charge without your express authorization.
20. General terms
If a provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, financing, reorganization, or sale of the Service, subject to the Privacy Policy and applicable law.
